Authority.

Termination.
You may terminate the T&C, with or without cause and at any time, by discontinuing your use of the Site and destroying all materials obtained from the Site. Without notice, River Road may terminate the T&C, or suspend your access to the Site, with or without cause at any time and effective immediately.
Governing Law.
The T&C shall be governed and construed in accordance with the laws of the United States and the Commonwealth of Kentucky, without giving effect to conflicts-of-law principles thereof. You also agree to submit to the personal jurisdiction of the courts, both state and federal, located in Jefferson County, Kentucky with respect to any legal proceedings that may arise in connection with the Site or from a dispute as to the interpretation or breach of the T&C.

The failure of River Road to exercise or enforce any right or provision of the T&C shall not constitute a waiver of such right or provision.
